1. Introduction.
Cadwell Industries, Inc. and its subsidiaries Cadwell Laboratories and CadRent LLC (“Cadwell”, “we,” “us,” or “our”) value your privacy and are committed to protecting the Personal Information (as defined below) of users who interact with our websites, social media platforms, and other media resources (the “Media Resources”) or who otherwise provide Personal Information to us. This Privacy Policy (“Policy”) describes how we collect, use, disclose, and protect your Personal Information, and what rights you have with respect to your Personal Information.
Please read this Policy in its entirety before using our Media Resources or submitting Personal Information to us through the Media Resources or otherwise. By providing Personal Information to us or by utilizing the Media Resources you agree to comply with the terms and conditions of this Policy, and you hereby consent to our collection, use, disclosure, and other processing of your Personal Information in accordance with this Policy.
Whenever you interact with us on behalf of another individual or entity, such as by providing or accessing Personal Information about another individual, you need to obtain their consent (or have the legal authority without consent) to share any Personal Information you provide to us.
We will not use or share your information with anyone except as described in this Policy.
Cadwell does not sell your Personal Information to third parties.
2. How We Collect Personal Information.
For purposes of this Policy, the term “Personal Information” means any information relating to an identified or identifiable natural person, and in some jurisdictions, information relating to an identified or identifiable household.
We may collect Personal Information you provide to us directly, such as when you contact us through our Media Resources, inquire about our products or services, interact with us in person at events, communicate with us, or sign up for an account or other services. When you navigate through our Media Resources, certain information may also be collected by utilizing various technologies and means, such as cookies, internet tags and navigational data collection. We may collect Personal Information from third parties, such as service and content providers, business partners, our affiliated companies, data brokers, social media companies, or other third parties with whom we interact. We may also collect Personal Information about you from publicly available sources, such as public profiles and websites. We may use such Personal Information as set forth in Section 4. We may combine and use information and make inferences from information that we receive from the various sources described in this Policy, including third party sources.
3. What Personal Information We Collect.
Personal Information we collect broadly falls into the following categories:
a. Identifiers, such as your name, email address, physical address, telephone number, business contact information, account number, device identifiers (e.g., cookie IDs and IP address), and information you provide when registering as a customer/customer representative to create an online account to access certain resources on our Media Resources (e.g., online training modules and product manuals).
b. Commercial information, such as purchase or subscription information, information about products you order or are interested in, payment details, delivery details, and legal information relating to your commercial interactions with us, such as complaints and information related to their resolution.
c. Internet or other electronic network activity information, such as your browsing history, search history, and information regarding your interactions with and use of the Media Resources. For more information about cookies and other device data, please see Cookie Policy.
d. Non-precise geolocation data, such as your location as derived from your IP address.
e. Professional or employment-related information, such as job title, organization, professional licenses, credentials, professional specialty, professional affiliations, and other professional information.
f. Inferences drawn from any of the information we collect, e.g. to assess the level of interest in our products and services and evaluate the industries showing interest in our products and services.
4. How We Use Your Personal Information.
We may use your Personal Information to improve our Media Resources, products, services and user experience, comply with legal and regulatory requirements, communicate with you about your account, inquiries, or services, provide a product or service, and for our internal administration and recordkeeping purposes. We may also use Personal Information to send you information about our products and services, conduct surveys, provide questionnaires, and provide other communications relating to our business.
The Media Resources use IP addresses to identify your computer by internet service provider. We may use this IP address to enable core functionality, analyze Media Resource usage, remember user preferences, report aggregate usage information, and administer and improve the Media Resources. The data is collected via cookies placed on your PC, mobile, or tablet. A cookie is a data file containing small amounts of information that a website can send to your browser which may then be stored on your computer as a tag that distinguishes your computer but does not name you. You may manage cookie settings via your browser, our cookie banner, or through third-party website resources. We may use anonymized, de-identified, or aggregated information for any purpose permitted by law.
5. Disclosure of Your Personal Information.
We may share Personal Information with our affiliates and/or certain applicable third parties (such as governmental authorities and regulators, professional consultants, vendors, and contractors). We may also share Personal Information with third parties that work on our behalf to provide the products and services you request or that support our relationship with you, to facilitate Media Resource use and analysis, to enforce our contractual rights, and to provide other contracted services. Such third parties may have access to some or all of the Personal Information you have provided in order to perform the tasks assigned to them on our behalf. However, they are prohibited from disclosing or using Personal Information for any other purpose apart from fulfilling their contractual obligations to us.
6. Links to and Embedded Content from Other Websites.
The Media Resources may include links to and embedded content (e.g. videos, images, articles, etc.) from other websites. Such material will behave in the exact same way as if the visitor has visited the other website.
Third parties that provide content, applications, or plug-ins through our Media Resources may collect data about you, use cookies, embed additional third-party tracking, monitor your interaction with that embedded content, and customize content, applications, and plug-ins for you. For example, when you share a webpage using a social media sharing button on our Media Resources (e.g., Facebook or X), the social network that has created the button will record that you have done this. Each third party has its own data privacy policy, outside of our control, that your interactions with the link and embedded content will be subject to. Please review the privacy policies of those websites for information about what information they collect and how they use it.
7. Data Security and Retention.
We use reasonable administrative, technical, and physical safeguards to protect your Personal Information from unauthorized access, loss, or misuse. These include encrypted communications (HTTPS), secure hosting infrastructure, access controls, and regular audits. These measures are designed to provide a level of security appropriate to the risk of processing Personal Information.
We retain Personal Information only as long as necessary for the purposes described in this Policy or to comply with regulatory and legal obligations. When the Personal Information is no longer needed, we securely delete or anonymize the Personal Information or, if this is not possible (for example, because your Personal Information has been stored in backup archives), we will securely store your Personal Information and isolate it from any further processing until deletion is possible.
8. Children’s Privacy.
Our services and Media Resources are intended to be used by legal entities and adults. We do not knowingly collect Personal Information from children under the age of 16. In the case we discover that a child under 16 has provided us with Personal Information, we immediately delete this from our servers. If you are a parent or guardian and you are aware that your child has provided us with Personal Information, please contact us so that we will be able to take the necessary actions.
9. Changes to This Policy.
We may update this Policy from time to time. Any updated Policy will be effective when posted. Please check this Policy periodically for updates. You can see when this Policy was last updated by checking the “Revised” date at the bottom of the Policy. If any of the changes are unacceptable to you, you should stop interacting with us. When required under applicable law, we will notify you of any changes to this Policy as required.

You can unsubscribe from our email marketing by clicking the “unsubscribe” or “opt-out” link in the marketing emails we send you. To opt out of other forms of marketing (such as postal marketing), please contact us as set forth in this Section.
11. Your Rights Under the CCPA/CPRA.
If you are a California resident, this section supplements the information above. You have certain rights with respect to your Personal Information under the California Consumer Privacy Act of 2018, as amended by the California Privacy Rights Act of 2020 (collectively, “CCPA”). These rights include:
- Right to Know: You may request that we disclose the categories of Personal Information we have collected about you, the categories of sources, our business or commercial purposes for collecting, using, or disclosing it, and the categories of third parties with whom we share it.
- Right to Access and Portability: You may request a copy of the specific pieces of Personal Information we have collected about you in a portable and readily usable format.
- Right to Correct: You may request that we correct inaccurate Personal Information that we maintain about you.
- Right to Delete: You may request that we delete Personal Information we have collected from you, subject to certain legal exceptions.
- Right to Opt Out of Sale/Sharing: We do not sell your Personal Information. If this practice changes, you will have the right to opt out by using a “Do Not Sell or Share My Personal Information” link.
- Right to Limit Use of Sensitive Personal Information: We do not collect sensitive Personal Information as defined under Cal. Civ. Code § 1798.140(ae). If this practice changes you may direct us to limit our use and disclosure of such information to that which is necessary to provide requested services.

In each instance, the category of information may be shared with affiliated entities, service providers, consultants, vendors necessary to complete transactions you request, for legal, security, and safety purposes, and to entities to which you have consented to the disclosure. We confirm that any disclosures of Personal Information to our service providers or contractors are made pursuant to written agreements that restrict their use of the information and prevent such disclosures from being deemed a “sale” under the CCPA.
We will not discriminate against you for exercising your CCPA rights, including by denying services, charging different prices, or providing a different level or quality of service, except as permitted by law.

To protect your privacy and security, we may need to verify your identity before processing your request. In most cases, during verification we will collect some or all of the following data elements: first and last name, email address, and telephone number. In some cases, we may request different or additional information, including a signed declaration that you are who you say you are. We will inform you if we need such information. You may also designate an authorized agent to make a request on your behalf if you provide the agent with written authorization or power of attorney, subject to our verification of the agent’s authority. We will respond to your request within 45 days or notify you if we require additional time (up to an additional 45 days).
We will retain your information for as long as necessary to fulfill the purposes described in this notice, as required by law, or until you exercise your right to delete it.
12. Your Rights Under GDPR / UK GDPR.
If you are from the European Economic Area, Switzerland or the UK, this Section supplements the information above. We may transfer your Personal Information outside your country of residence to the United States or other countries where we have an affiliate or use third parties to provide services to us for the purposes set forth in this Policy. Such countries may not have the same level of data protection as within your country. If we do make such a transfer, we will take steps in accordance with applicable laws to protect your Personal Information.
We rely on the following legal grounds for the collection, use, and other processing of your Personal Information:

- Right to Rectification. You have the right to request the rectification of inaccurate Personal Information and to have incomplete data completed.

- Right to Restrict Processing. You may request that we restrict the processing of your Personal Information in certain cases.
- Right to Erasure. You may request that we erase your Personal Information in certain cases.
- Right to Lodge a Complaint. You have the right to lodge a complaint with a supervisory authority in the country where you reside or where the conduct that is the subject of the complaint occurred.
- Right to Refuse or Withdraw Consent. In case we ask for your consent to process your Personal Information, you are free to refuse to give it. If you have given your consent, you may withdraw it at any time without any adverse consequences. The lawfulness of any processing of your Personal Information that occurred prior to the withdrawal of your consent will not be affected.
- Right to Not Be Subject to Automated Decision-making. You have the right to not to be subject to a decision based solely on automated processing and to be given more information about why any such decision was made.

We will endeavor to respond within an appropriate timeframe and, in any event, within any timescales required by applicable laws and regulations.
